Welcome to our Terms and Conditions of Service (hereafter referred to as “Terms”) and thank you for selecting CareConnect!

To guarantee that everyone using the site will receive the value and protection they are entitled to, our conditions have been put in place. It details the regulations everyone must follow while using CareConnect, explains your legal rights on CareConnect, outlines the rights you provide us when you use CareConnect, and includes a class action waiver and an agreement to arbitrate any disputes that may occur.

When utilizing CareConnect Services, the terms are crucial, and we want to be open and honest about what you may anticipate as well as what we anticipate of you.

1. INTRODUCTION

CareConnect (“CareConnect”, “we”, “us”, “our”) provides a non-medical digital platform dedicated to improving the healing process of patients by digitally linking skilled nurses with patients.

The process of request a nurse involves creating and sharing of personal, address related information, as well as other products, and Services that may be developed from time to time. 

By accessing or using CareConnect Services, you agree to be bound by these Terms and Privacy policy.

These Terms govern your access and use of the CareConnect caregiving platform, and any other Service that will be developed and connected to the CareConnect Service.

Your agreement with us includes these Terms and any additional terms that you agree to, as presented in the Entire Agreement section below. The current effective version of the agreement can be found on the website (careconnect.rw).

You acknowledge that you have read and understood the Agreements, accept these Agreements, and agree to be bound by them. If you do not agree with, or cannot comply with the Agreements, then you may not use the  CareConnect Service or access any Content.

In order to use the CareConnect Service, you need to be a patient, guardian, relative or any other person with the patient/guardian’s consent to the Agreements. You also commit to the veracity of any registration information that you submit to CareConnect, and you agree to keep it that way at all times. 

2. CHANGES TO THE AGREEMENTS

On rare occasions, we might modify the Agreements. When we make significant changes to the Terms, we’ll provide you notice in the most effective manner possible, such as by posting a clear notice on the Service or sending you an email. In some circumstances, we will let you know in advance, and by using the Service after the changes have been implemented, you agree to them.

Therefore, please make sure you thoroughly read any such notification. You may terminate your account by writing us at hello@careconncet.rw if you do not want to use the Service in accordance with the revised version of the Agreements.

3. SERVICE PROVIDER

The CareConnect suite of services are provided by, and you are in contract with,:

CareConnect ltd (CareConnect)

Incorporated and operating under the laws of Rwanda (Company registration: 120069920)

4. CARECONNECT SERVICES

Care Connect is a non-medical healthtech company with a digital platform dedicated to improving the healing process of patients by digitally linking skilled nurses with patients.

CareConnect develops according to the principles of privacy by design and default, which means that users are always in control of their own data.

Each user is free to provide as much or as little information as they like and to remove their account whenever they choose. The content submitted by users at a specific moment is given by the Service “as is.”

4.1 Enjoying the CareConnect Services

CareConnect is a caregiving platform that allows both patients (outpatient or inpatient) and nurses to interact instantly. Our services are acquired through CareConnect App and the website and both services are instant. You can find a description of our Services on our website (careconnect.rw) where we explain which Service option is available to both in-patient (hospital Care and as outpatient (Home care) users. Both Services are chargeable provided to you according to a chosen plan and payment model. We may also offer special promotional plans, memberships, or Services. We are not responsible for the services provided by CareConnect nurses without requesting Careconnect services on App or Website. We reserve the right to modify, terminate or otherwise amend our offered subscription plans and promotional offerings at any time in accordance with these Terms.

These Terms apply to all users. For the safety and protection of all users, certain CareConnect Services do not require registration, while others do. Users must provide either an email address or a username in order to begin utilizing Services that need registration in CareConnect applications. The user will get a list of nurses who are available after completing the registration procedure and will be able to request the best nurses based on age, gender, location, and rating.

The CareConnect Service, the Content, or any portion thereof may not be used in any way that is not specifically authorized by the Agreements, and you undertake to adhere by our Terms in doing so. CareConnect offers you no right, title, or interest in the save as specifically provided in the Agreements.

4.2 Username

For the purpose of completing registration and setting up their own unique CareConnect account, the User selects an easy-to-remember username. The username must follow all applicable laws and must not offend anyone or in any way be considered offensive.

5. PROVISION OF SERVICE

Customers will get the Service from CareConnect in accordance with the terms of this document and any applicable subscription agreement.

For convenient access to our Service, CareConnect provides a mobile application. Customers can, however, opt to make our Service available on third-party platforms and integrate it using our APIs.

To guarantee the full performance of the Service, the Customer must integrate the Service into their current software environment in line with CareConnect’s recommendations.

Other than the ability to use the Service in accordance with this Agreement, the Customer or User does not acquire any rights to any other Services or deliverables from CareConnect. The right to use the Service by the Customer or User cannot be transferred. The user or client may not divulge

7. INTELLECTUAL PROPERTY

Except as expressly provided herein, nothing in this Agreement will be interpreted as CareConnect providing a license to, assigning or transferring, in whole or in part, any intellectual property rights to Customer or any User. CareConnect is the only owner of all rights, including any software needed to deliver the Service and uphold its end of the bargain.

Even after being installed on your servers, computers, mobile phones, tablets, and/or other devices (collectively, “Devices”), CareConnect retains ownership of all copies of the CareConnect software application and the data itself. CareConnect is not selling or transferring the CareConnect software mobile application to you.

9. USER GUIDELINES

To make CareConnect safe and pleasant for everyone, we have created certain ground rules to abide by when using our Service. You are required to abide by these guidelines and to urge other users to do the same.

The following is prohibited for any and all reasons:

1. Using the CareConnect Service and the Content in a manner that is expressly prohibited by the Agreements or by applicable law, or in any other way that violates the CareConnect Service’s intellectual property rights;

2. Importing or copying data via the CareConnect Service that you are not authorized to import or copy in this manner.

3. Making demands on nurses on behalf of patients without their permission or legal guardians

4. Modifying or producing derivative works for the CareConnect Service, Content, or any portion thereof via reverse engineering, decompiling, disassembling, or any other method not expressly authorized by applicable law;

5. Any kind of resale, rental, sublicensing, or leasing of CareConnect Service or Content;

6. storing or copying any aspect of the CareConnect Services without first obtaining permission in writing;

2. Conflicts with the Agreements, as assessed by CareConnect. 1. Impersonates or falsely portrays your relationship with another user, person, or is generally fraudulent, dishonest, deceptive, or misleading.

You understand and accept that breaking these rules might lead to the immediate cancellation or suspension of your CareConnect account.

Take care when utilizing CareConnect platforms. Features that are social and interactive are part of our service. Use CareConnect with caution, and pay attention to your privacy settings. CareConnect is not liable for your decisions regarding the personal information you select to put in your user account or the degree to which you want to disclose it.

10. AVAILABILITY AND LIMITATIONS OF THE SERVICE

You understand and acknowledge that there are no explicit or implied warranties or conditions of any kind and that the CareConnect Service is offered “as is” and “as available.”

CareConnect will endeavor to maintain the CareConnect Service’s functionality. However, occasionally there may be brief disruptions due to technical issues, maintenance, testing, or updates needed to reflect changes in the relevant laws and regulatory requirements. CareConnect reserves the right to periodically and at any time interrupt, modify, or discontinue the CareConnect Service or any aspect of it, including any features or functions, with or without prior notice to you. Except where prohibited by law, CareConnect will not be responsible for any such occurrences. You acknowledge and agree that CareConnect

will use reasonable efforts, but is under no obligation to deliver all or any particular material through the Service, or to support, upgrade, or otherwise update the Service. CareConnect and/or the content’s creators reserve the right to sometimes delete such content without warning. As permitted by current legislation, this clause shall be enforced.

11. LIMITATION OF LIABILITY

Unless otherwise specified in your subscription agreement, you agree that the only and exclusive way to address any issues with or unhappiness with the CareConnect Service is to remove any CareConnect software and cease using the CareConnect Service.

For the avoidance of doubt, CareConnect will never be responsible for a Customer or User’s failure to meet their obligations to CareConnect under this Agreement. In the case that a Customer or User makes a claim, CareConnect will let them know that any such claims must be directed at the Customer or User who has not complied with the Agreement’s obligations.

In the event of a force majeure event, such as a fire, flood, strike, lightning, pandemic, disruption of the availability of public communications networks or internet connections, prolonged general power outages, changes in the regulatory environment, or acts of governmental or military authority, CareConnect shall not be liable for failure to perform any of its obligations under this Agreement. Unless a force majeure situation is anticipated

CareConnect will inform the Customer of the occurrence of the force majeure event and the anticipated extent and duration of its inability to execute its duties under this Agreement as soon as reasonably reasonable after CareConnect has become aware of the force majeure event. CareConnect must make all reasonable steps to limit the consequences of the unavoidable incident.

12. PAYMENTS AND CANCELLATION

For our users, downloading the mobile app, setting up a private account, and browsing the list of nurses accessible are all free.

Customers must pay CareConnect according to the pricing outlined in the relevant Subscription Agreement in order to utilize the Service.

The appropriate subscription costs are billed monthly in arrears, unless the Subscription Agreement specifies otherwise.

The system gives the invoice after payment and the customer requests it; the payment period is pre-paid. Payment must be made using a bank transfer or another method made available by CareConnect. Value added tax (VAT) and other relevant taxes and fees are not included in any of the pricing.

After the Service has been launched, the Customer may request adjustments, which will be billed to the Customer as separate professional services. Only with a signed agreement between the Customer and CareConnect may special service inquiry work begin.

12.1 Billing

You may purchase a Paid Subscription directly from CareConnect platforms or through a third party either by paying a subscription fee in advance on a monthly basis, or other recurring interval disclosed to your prior to the purchase, or prepayment giving you access to the CareConnect Services for a specific time period (Pre-Paid Period).

CareConnect may change the price for any of the subscriptions and will communicate the price change to you in advance, and when applicable inform you how to accept these changes. If you do not agree with the price change, you have the right to reject the change by unsubscribing from the paid subscription prior to the price change going into effect. 

13. LOCAL TAXES 

All prices are exclusive of  any applicable government taxes. Without deducting or taking into account any taxes, levies, import duties, penalties, or other withholdings of any kind imposed by any governmental, fiscal, or other entity, the invoice amount must be paid in cleared funds.

According to applicable tax laws, tax authorities’ customs, and practices, it is the customer’s responsibility to withhold and submit any applicable taxes that apply to the subscription charge that has been billed due.

The customer is in charge of paying and remitting any relevant taxes as well as any late payment interests and penalties levied by the taxing authority for failing to withhold and submit any such taxes.

15. THIRD PARTY RIGHTS  

You understand and accept that the right to enforce the agreements directly against you belongs to the owners of the content as well as some distributors (such as those who operate app stores).

16. MISCELLANEOUS

16.1 Notices

The Subscription Agreement specifies how all notices, requests, bills, and other communications are to be addressed.

Every notification must be in writing, in Kinyarwanda or English, and delivered in person, by email, or by registered mail. It must be sent to the parties listed in the business Subscription Agreement or to a different address that one Party notifies the other of.

16.2 Assignment

Without the other party’s prior written approval, neither Party may assign, transfer, or otherwise dispose of this Agreement or any of its rights or obligations hereunder.

Despite the preceding clause, CareConnect may assign or transfer the Agreement, or its rights and responsibilities thereunder, to a firm within its own corporate group without first obtaining the consent of the Customer or User.

17. INDEMNIFICATION

You agree to indemnify and hold CareConnect harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of or related to:

(1) Your breach of the Agreements;

 (2) Any User Content you post or otherwise contribute;

(3) Any activity in which you engage on or through the CareConnect Service; and

(4) Your violation of any law or the rights of a third party.

18. GOVERNING LAW, DISPUTES AND ARBITRATION

The laws of Rwanda shall govern this Agreement and be followed in construing it.

This Agreement, or the breach, termination, or invalidity thereof, or any claim arising therefrom, shall be ultimately decided by arbitration in accordance with Rwandan law.

19. UPDATES TO THE AGREEMENTS

We reserve the right to sometimes alter our Agreements, including these Terms. In some circumstances, we will let you know in advance, and by using the Service after the changes have been implemented, you agree to them.

Therefore, please ensure that you thoroughly read any such warning. You can cancel your paid business account by emailing us at hello@careconnect.rw if you do not want to use the Service in accordance with the updated version of the Agreements.

20. ENTIRE AGREEMENT 

The Agreements constitute the entire agreement between you and CareConnect and supersede any prior understandings regarding their subject matter, whether written or oral, aside from what is specifically stated in this section or what has been expressly agreed upon in writing between you and CareConnect.

Please note, nevertheless, that additional agreements may apply to some parts of how you use the CareConnect Service. This can, for instance, include combining other services with a membership to our premium services. You will be given the chance to agree to extra terms when you are offered with an offer for these parts of your use, as well as any relevant supplementary agreements. The extra terms shall take precedence over these Terms to the extent that there is any unresolvable disagreement.
